Contractor Agreement

This agreement applies to you if you create a professional account and list a business on Zafvio ("Zafvio", "we", "us"). It is in addition to the Terms of Service and the Privacy Policy, which also apply. If anything here conflicts with the Terms of Service, this agreement governs for professionals.
You are an independent business
- You are an independent contractor, not an employee, agent, or partner of Zafvio. You decide which jobs to take, when you work, how you do the work, and what you charge.
- Zafvio is a coordination platform. The contract for any job is between you and the customer. Zafvio is not a party to it and does not perform, supervise, or guarantee the work.
- Nothing here guarantees you any number of customers, bookings, or income.
What you promise about your business
- You hold every license, registration, permit, and insurance that the law and your trade require where you work, and you keep them current. If you enter a license number in the app, it is accurate and yours.
- You are responsible for your own taxes, including sales tax you choose to collect through a quote. The tax rate the app suggests is a starting point, not tax advice; the rate you save is the one you are responsible for.
- The prices, hours, service area, and descriptions on your profile are true and kept up to date.
- You will do the work you agreed to, at the time and price the customer accepted in the app, with reasonable skill and care, and you will treat customers and their property with respect.
- Anyone who works under your account is your responsibility, as if it were you.
Quotes and prices
- A quote you send in the app is an offer. When the customer accepts it, the price is agreed and the job is booked.
- If the scope grows on site, you send a quote update in the app and the customer approves or declines it before it is added. Charging a customer for work they did not approve in the app is a breach of this agreement.
- Optional line items the customer removes before accepting are not part of the job.
Fees and payments
- During the beta, Zafvio charges you nothing. There is no subscription and no commission.
- When we introduce fees, we will tell you in the app at least 30 days before they take effect, and you may close your account before then at no cost.
- Payouts for in-app payments are made by Stripe to the account you connect. By connecting it you also agree to the Stripe Connected Account Agreement. Stripe verifies your identity under its own terms; we do not see your bank details.
Location and tracking
When you mark yourself en route to a job, the app shares your location with that customer until you arrive, so they can see a live arrival estimate. This is the core of the service and it is only active during a trip you started. You can stop it at any time by ending the trip; doing so mid-trip removes the customer's estimate.
Customers and their information
- You see a customer's name, address, phone, notes, and issue photos only for jobs they booked with you, and only to do those jobs.
- You may keep the records you need for your own business, such as invoices. You may not sell, share, or use customer information for any other purpose, and you may not contact customers for reasons unrelated to their job without their permission.
Reviews and conduct
- Customers may leave reviews. You may not write, buy, or solicit fake reviews, for yourself or against anyone else.
- We may remove your business from search, or close your account, for repeated cancellations or no-shows, unsafe or unlawful work, harassment, fraud, or breach of this agreement. Where we can, we will tell you why.
- You may close your account at any time from Settings. Closing it deactivates your profile; records of completed jobs are kept as described in the Privacy Policy.
Liability
You are responsible for your work and for any loss, damage, or injury arising from it, and you agree to indemnify Zafvio against claims that arise from your work, your breach of this agreement, or your violation of the law. Zafvio's liability to you is limited as set out in the Terms of Service.
Law
This agreement is governed by the laws of the State of Texas, USA. Disputes about a job are between you and the customer, though we may assist in good faith.
Changes
We may update this agreement; material changes will be announced in the app before taking effect. Continuing to use Zafvio after that means you accept the updated agreement.
